DOCUSSENTIALS TERMS OF SERVICE
Effective Date:
These Terms of Service (these “Terms”) are a binding agreement between you and VHI Holdings LLC, a Florida limited liability company doing business as Docussentials (“Docussentials,” “we,” “us,” or “our”), and govern your access to and use of the Docussentials website, web application, and all related services, features, and content (collectively, the “Service”).
How you accept these Terms. You accept these Terms by checking the box presented at account registration stating that you agree to these Terms of Service and to our Privacy Policy. You cannot complete account creation without taking that affirmative step. By checking the box, creating an account, purchasing a subscription, or otherwise accessing or using the Service, you accept and agree to be bound by these Terms and acknowledge our Privacy Policy. If you do not agree, do not create an account or use the Service.
PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE: (A) IMPORTANT DISCLAIMERS REGARDING AI-GENERATED CONTENT (SECTION 8); (B) TERMS GOVERNING AUTOMATICALLY RENEWING PAID SUBSCRIPTIONS AND A GENERALLY NON-REFUNDABLE FEE POLICY (SECTIONS 4 THROUGH 6); (C) A DISCLAIMER OF WARRANTIES (SECTION 16); (D) A LIMITATION OF LIABILITY (SECTION 17); AND (E) A GOVERNING LAW, VENUE, AND DISPUTE RESOLUTION PROVISION, INCLUDING A JURY TRIAL WAIVER AND A CLASS ACTION WAIVER (SECTION 19).
1. The Service
Docussentials is a Project Intelligence Workspace. The Service allows you to create an account; create projects; upload supported project documents in PDF, DOCX, and TXT formats; receive AI-assisted analysis and structured project intelligence generated from your documents; save certain analyses and generated outputs to your workspace; and manage a paid subscription.
The Service is a software tool. It does not provide professional services of any kind, and nothing produced by the Service constitutes legal, financial, accounting, tax, engineering, medical, or other professional advice. Section 8 describes the limitations of AI-generated content in detail.
2. Eligibility
You must be at least 18 years of age and able to form a binding contract to use the Service. The Service is intended for users in the United States. It is not directed to children, and we do not knowingly collect personal information from anyone under 13 years of age. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and “you” includes that organization.
3. Accounts
Registration. You must register for an account to use the Service. You agree to provide accurate, current, and complete information and to keep it current.
Security. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly at support@docussentials.com if you believe your account has been accessed without your authorization.
One person, one account. Accounts are personal to the registering user or organization. Do not share credentials or use another person’s account without authorization.
4. Subscription Plans, Pricing, and Usage Limits
4.1 Plans. The Service is offered on a free plan (“Free”) and on paid subscription plans, currently Essentials and Plus. A Pro plan may be offered in the future; Pro is not currently available for purchase. The features, monthly usage allowances (including document analyses, uploads, and generation features), and prices for each plan are described on the Docussentials pricing page and at the point of purchase. The plan details displayed at the time you subscribe govern your subscription for the then-current billing period.
4.2 Usage limits. Each plan includes usage allowances that reset each billing or usage period. When you reach a plan limit, the Service may require you to wait until the allowance resets or to upgrade to a higher plan. We may enforce usage limits through the Service.
4.3 Plan changes by us. We may change plan features, allowances, and prices prospectively. Price or allowance changes affecting an existing paid subscription take effect at the start of the next billing period after reasonable advance notice, and never retroactively shorten or reduce a billing period you have already paid for. If you do not agree to a change, you may cancel before it takes effect.
5. Billing and Payment
5.1 Payment processing. Paid subscriptions are billed through Stripe, our third-party payment processor. By subscribing, you authorize us and Stripe to charge your payment method the applicable subscription fee, plus any taxes required by law, on a recurring basis. Docussentials does not receive or store your full payment card details; card processing is handled by Stripe.
5.2 Automatic renewal. Paid subscriptions renew automatically at the end of each billing period at the then-current price for your plan, unless you cancel before the renewal date as described in Section 6. You are responsible for maintaining a valid payment method.
5.3 Payment failure. If a renewal charge fails, we may retry the charge, notify you, and suspend or downgrade paid features until payment is completed. We may terminate a subscription for continued nonpayment.
6. Cancellation, Downgrades, and Refunds
6.1 Cancellation. You may cancel a paid subscription at any time through your account or the Stripe-hosted billing portal. Cancellation stops future renewals. Your paid access continues through the end of the billing period you have already paid for, after which your account converts to the Free plan (or such other treatment as we describe at cancellation).
6.2 Refunds. Except where required by applicable law, all subscription fees are non-refundable, including for partial billing periods, unused allowances, or features you did not use. We may, in our sole discretion, grant a refund or credit in exceptional circumstances; any such accommodation is not a waiver of this Section and does not entitle you or anyone else to a refund in the future.
6.3 Downgrades. Downgrading or changing plans may reduce feature availability and usage allowances. Your saved projects and saved project intelligence generally remain associated with your account when you change plans, subject to Section 13 and the Privacy Policy, but access to particular features depends on your active plan.
7. Your Content
7.1 You own your content. As between you and Docussentials, you retain all ownership rights in the documents, text, and other materials you upload or submit to the Service (“Your Content”).
7.2 Limited operational license. You grant VHI Holdings LLC a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, reproduce, analyze, and display Your Content, and to transmit Your Content to the authorized service providers identified in our Privacy Policy, in each case solely as reasonably necessary to provide, operate, secure, support, maintain, and improve the Service for you. This is a limited operational license, not a transfer of ownership. We do not acquire any right to use Your Content for advertising, for resale, or to train artificial intelligence models for purposes unrelated to providing the Service to you.
7.3 Your responsibilities. You represent and warrant that you have all rights, permissions, consents, and authority necessary to upload Your Content to the Service and to permit the processing described in these Terms and the Privacy Policy, including with respect to any third-party or confidential material contained in Your Content. Do not upload content you are not authorized to process, and do not upload information subject to legal regimes the Service is not designed to satisfy, including protected health information subject to HIPAA, information subject to export controls, or payment card data.
8. AI-Assisted Analysis and Generated Outputs
8.1 How the Service works. The Service uses artificial intelligence, including third-party AI service providers, to analyze the text extracted from your uploaded documents and to generate structured project intelligence, summaries, and related outputs (“Outputs”).
8.2 Your rights in Outputs. To the maximum extent permitted by applicable law, and as between you and Docussentials, you may use, reproduce, and modify the Outputs generated for you through your account for any lawful purpose, and we assign to you any right, title, and interest we may hold in those Outputs. You acknowledge that the extent to which AI-generated content can be owned is determined by applicable law, that Outputs may not be protectable by copyright, and that Outputs generated for other users from similar inputs may be similar or identical to your Outputs. We make no representation that any Output is unique or protectable.
8.3 AI limitations; your responsibility to verify. AI-generated content has inherent limitations. Outputs may be incomplete, inaccurate, outdated, biased, or unsuitable for your purpose, and may misstate or omit material information contained in your documents. Outputs are informational starting points only. They are not legal, financial, accounting, tax, engineering, medical, or other professional advice, and they are not a substitute for review by a qualified professional. You are solely responsible for independently reviewing and verifying any Output before relying on it or using it in your own professional, business, or personal context, and for all decisions and actions you take based on the Service.
9. Acceptable Use
You agree that you will not, and will not attempt to: (a) use the Service in violation of any applicable law or regulation; (b) upload or process content that is unlawful, infringing, or that you lack rights to process; (c) access without authorization the Service, other users’ accounts, or any systems or networks the Service depends on; (d) probe, scan, disrupt, overburden, or interfere with the Service or its security features, or introduce malicious code; (e) bypass, or attempt to bypass, usage limits, plan entitlements, or access controls; (f) scrape, harvest, bulk-download, resell, or redistribute the Service or its content, whether manually or by automated means; (g) reverse-engineer, decompile, or disassemble any part of the Service except to the extent this restriction is prohibited by applicable law; (h) misuse the AI features, including by attempting to extract underlying model prompts or configuration or to generate content unrelated to the Service’s purpose; (i) create accounts by automated means or under false pretenses; or (j) use the Service to develop a competing product or to train a machine-learning model.
We may investigate suspected violations and may suspend or terminate accounts as described in Section 15.
10. Docussentials Intellectual Property
The Service, including the Docussentials name, brand, and logo, the underlying software, architecture, workflows, methods, interfaces, visual design, templates, prompt structures, documentation, and all related intellectual property rights, is owned by VHI Holdings LLC or its licensors and is protected by applicable intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal purposes during the term of your account. No other rights are granted. Except for Your Content and your rights in Outputs under Section 8.2, nothing in these Terms transfers any ownership interest in the Service to you.
11. Feedback
If you submit suggestions, ideas, bug reports, or other feedback about the Service, you grant VHI Holdings LLC a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose, including improving the Service, without obligation to compensate, credit, or notify you. Do not send us feedback you consider confidential.
12. Third-Party Services
The Service depends on third-party service providers, including for hosting, database and authentication infrastructure, payment processing, AI processing, and transactional email. Our Privacy Policy identifies our current service providers and their roles. Third-party services are governed by their own terms and policies, and the availability and performance of the Service may depend in part on those providers. We are not responsible for third-party services we do not control.
13. Data Practices; Project and Account Deletion
13.1 Privacy Policy. Our collection, use, retention, and deletion of information is described in the Docussentials Privacy Policy, which is incorporated into these Terms by reference. Two points from the Privacy Policy are worth stating here because they affect your workspace.
13.2 Original files versus saved intelligence. The Service processes your uploaded documents to extract text for analysis. Your original uploaded files are not retained by the application after processing. The analyses and generated project intelligence you save are retained in your workspace until they are deleted. If you need to keep an original document, keep your own copy; the Service is not a document storage or backup service, and you should not rely on it to preserve any uploaded file.
13.3 Project deletion. Deleting a project deletes the project record and removes the project association from related saved analyses and document metadata. Related saved records are not automatically deleted when a project is deleted; they remain in your account as unassigned records until deleted through a deletion request or account deletion.
13.4 Account deletion. Account deletion is handled through a support-managed process. To request deletion, contact support@docussentials.com from the email address associated with your account. The process is described in the Privacy Policy, including the limited categories of information we may retain after deletion for billing, tax, security, fraud prevention, dispute, legal, and backup purposes.
14. Service Availability and Changes
We may maintain, modify, add to, suspend, or discontinue any part of the Service at any time, including to address security, legal, operational, technical, or commercial requirements. We do not guarantee that the Service will be uninterrupted, timely, or error-free. Where a change materially and adversely affects a paid subscription, your remedy is to cancel under Section 6.
15. Suspension and Termination
You may stop using the Service and request account deletion at any time. We may suspend or terminate your access to all or part of the Service, with or without notice, if we reasonably believe you have violated these Terms, if your account is subject to continued nonpayment, if we are required to do so by law, if your conduct creates security risk or possible legal exposure for us or other users, or upon discontinuation of the Service. Where practicable and lawful, we will provide notice and an opportunity to export saved work or cure the issue before termination for cause. If we terminate your paid subscription without cause before the end of a period you have paid for, we will refund the prorated unused portion of that period, as your sole remedy.
Sections 7.3, 8, 10, 11, and 16 through 21 survive any termination of these Terms or your account.
16. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, DOCUSSENTIALS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT ANY OUTPUT WILL BE ACCURATE, COMPLETE, RELIABLE, OR SUITABLE FOR YOUR PURPOSES, OR THAT ANY DATA, ANALYSIS, OR CONTENT WILL BE PRESERVED WITHOUT LOSS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
17. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (A) VHI HOLDINGS LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SERVICE, ANY OUTPUT, OR THESE TERMS, UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) THE TOTAL AGGREGATE LIABILITY OF VHI HOLDINGS LLC AND ITS SERVICE PROVIDERS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE, ANY OUTPUT, OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD 100) OR THE TOTAL AMOUNTS YOU PAID TO DOCUSSENTIALS FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF CERTAIN DAMAGES. WHERE THAT IS THE CASE, THE ABOVE LIMITATIONS APPLY ONLY TO THE EXTENT PERMITTED, AND NOTHING IN THESE TERMS LIMITS OR EXCLUDES LIABILITY FOR FRAUD OR FRAUDULENT MISREPRESENTATION, FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, OR FOR ANY OTHER LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED. THE LIMITATIONS IN THIS SECTION ARE FUNDAMENTAL ELEMENTS OF THE BARGAIN BETWEEN YOU AND DOCUSSENTIALS, AND THE SERVICE WOULD NOT BE PROVIDED ON THESE ECONOMIC TERMS WITHOUT THEM.
18. Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless VHI Holdings LLC and its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or relating to: (a) your violation of these Terms; (b) Your Content, including any claim that Your Content or our processing of it as authorized by you infringes or violates the rights of a third party; (c) your use of any Output, including any decision made or action taken in reliance on an Output; or (d) your violation of any law or the rights of a third party in connection with your use of the Service. We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense.
19. Governing Law; Venue; Dispute Resolution
19.1 Governing law. These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Florida and applicable federal law, without regard to conflict-of-laws principles.
19.2 Informal resolution first. Before filing any claim, you and Docussentials each agree to first try to resolve the dispute informally. Send a written description of the dispute, including your name, account email, a description of the issue, and the relief you seek, to support@docussentials.com or to VHI Holdings LLC, 135 Dickson Bay Road, Panacea, Florida 32346. The parties will attempt in good faith to resolve the dispute within 60 days after the notice is received. If the dispute is not resolved within that period, either party may proceed under this Section.
19.3 Venue. Any claim that is not resolved informally must be brought exclusively in the state courts located in Wakulla County, Florida, or in the United States District Court for the Northern District of Florida, and you and Docussentials each consent to the personal jurisdiction and venue of those courts. Either party may instead bring an individual claim in small claims court if the claim qualifies.
19.4 Jury trial waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND DOCUSSENTIALS EACH KNOWINGLY AND VOLUNTARILY WAIVE THE RIGHT TO A TRIAL BY JURY IN ANY ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.
19.5 Class action waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, ALL CLAIMS MUST BE BROUGHT IN THE PARTIES’ INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. If a court determines that this class action waiver is unenforceable as to a particular claim, that determination will not affect the enforceability of this waiver as to any other claim or the remainder of this Section.
19.6 Time limit on claims. To the extent permitted by applicable law, any claim arising out of or relating to the Service or these Terms must be filed within one (1) year after the claim accrues, or it is permanently barred. This Section does not shorten any limitations period that applicable law does not permit to be shortened by contract, and it does not apply to any claim as to which a contractual shortening of the limitations period is void under applicable law.
20. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email to the address on your account, by notice within the Service, or by other reasonable means at least thirty (30) days before the changes take effect, and the updated Terms will state a new effective date. Changes will not apply retroactively, and no change to Section 17 (Limitation of Liability) or Section 19 (Governing Law; Venue; Dispute Resolution) will apply to any dispute that arose, or any claim that accrued, before the change took effect. If you continue to use the Service after the updated Terms take effect, you accept them. If you do not agree to updated Terms, you must stop using the Service and may cancel your subscription and request account deletion.
21. General Provisions
Entire agreement. These Terms, together with the Privacy Policy and any additional terms we present for specific features or plans, are the entire agreement between you and Docussentials regarding the Service and supersede all prior agreements regarding the Service.
Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment. You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law.
Force majeure. We are not liable for any delay or failure to perform resulting from causes outside our reasonable control.
Notices. We may provide notices to you by email to the address on your account or through the Service. You may contact us as set out in Section 22.
Interpretation. Section headings are for convenience only. “Including” means “including without limitation.”
